These Terms & Conditions (“Terms”) form a legally binding agreement between you (“you”, “your”, “Member” or “User”) and Jobs HQ Limited, Isle of Man Company Number 135881C (“Jobs HQ”, “Placements24”, “we”, “us” or “our”), governing your access to and use of the Placements24 website, software platform and associated services.

Placements24 is available through placements24.com and associated Placements24 webpages and services (collectively, the “Platform”).

Please read these Terms carefully before creating an account or purchasing Premium Membership.

By creating an account, accessing member-only functionality or purchasing Premium Membership, you agree to these Terms.

1. The Placements24 Platform

Placements24 is an online career platform and software service designed to provide users with digital tools, information and functionality to support their own job search and career development.

Depending upon membership level and availability, Platform functionality may include:

• searching and viewing employment opportunities;
• receiving job alerts;
• accessing job-search tools and information;
• CV/resume support and review;
• career guidance and coaching;
• interview preparation;
• career-development resources; and
• other software, tools and career-support functionality made available through Placements24.

Membership provides access to the applicable Placements24 software, Platform functionality and associated career-support features.

Placements24 does not sell employment, job placement or any guarantee of employment.

2. Placements24 Is Not an Employer or Recruitment/Placement Agency

Placements24 is an online software and career-support platform.

Unless expressly stated otherwise in relation to a separate service, Placements24 does not:

• employ job seekers;
• employ individuals on behalf of third parties;
• act as a staffing company;
• act as the employer for vacancies displayed through the Platform;
• select candidates for employers;
• make hiring decisions;
• negotiate employment contracts on behalf of users or employers;
• guarantee interviews, job offers or employment; or
• provide job or personnel placement as part of Basic or Premium Membership.

The Premium Membership fee is charged for access to the Premium functionality of the Placements24 software Platform and the career-support features included with that membership. It is not a fee for finding, obtaining, procuring or placing you into employment.

Members remain responsible for their own job-search decisions, applications, communications with prospective employers and decisions concerning employment opportunities.

3. Third-Party Jobs and Employment Opportunities

Placements24 may display job advertisements, vacancies and employment-related information obtained from third-party job providers, employers, recruiters, publishers, data providers and other external sources.

The appearance of a vacancy on Placements24 does not mean that Placements24 is the employer, recruiter or hiring organisation responsible for that vacancy.

Placements24 provides software functionality enabling Members to discover and access employment opportunities supplied or made available by third parties.

When you choose to pursue a third-party vacancy, you may be directed to an external website or service operated by an employer, recruiter, job provider or another third party.

That third party, rather than Placements24, is responsible for its own vacancy, recruitment process, application process, candidate selection, interviews, employment decisions, employment terms and hiring outcome.

Job information may change, expire or contain inaccuracies originating from third-party sources. Although Placements24 may take reasonable measures concerning information displayed through the Platform, we do not guarantee the accuracy, completeness, continued availability or authenticity of every third-party vacancy.

Members should verify material vacancy information with the relevant employer, recruiter or job provider before relying upon it.

4. Basic Membership

Eligible users may create a Basic Membership without purchasing Premium Membership.

Basic Membership provides a personal, limited, revocable, non-exclusive and non-transferable right to access and use the functionality Placements24 makes available to Basic Members.

Functionality available to Basic Members may differ from that available to Premium Members.

Certain jobs, application functionality, career-support features, tools or other Platform functionality may require Premium Membership.

Creating a Basic Membership does not itself require you to purchase Premium Membership.

5. Premium Membership and Software Licence

Premium Membership provides access to additional Placements24 software functionality and career-support features.

Subject to availability and these Terms, Premium functionality may include features such as:

• additional job-search and application functionality;
• access to a dedicated Career Coach;
• CV/resume review and rewriting support;
• career guidance;
• interview preparation; and
• other Premium tools and services identified through the Platform.

By purchasing Premium Membership, you acquire a personal, limited, revocable, non-exclusive and non-transferable licence to access and use the Premium functionality of the Placements24 Platform for your own personal career purposes for the duration of your membership.

Premium Membership does not constitute the purchase of a job, interview, introduction to an employer, recruitment representation, personnel placement or employment outcome.

You may not sell, transfer, sublicense, share or commercially exploit your membership or Platform access.

6. Career Coach Services

Premium Membership may include access to career-support services provided through a designated Placements24 Career Coach.

Career Coach services provide career guidance and professional-development support. Depending upon your needs and the functionality available, this may include CV/resume assistance, interview preparation, career planning, job-search guidance, career-change guidance and related career support.

Career Coach communications constitute guidance and support. They do not constitute an offer or guarantee of employment.

A Career Coach does not make employment decisions for you and has no authority to bind any employer to employ you.

You remain responsible for deciding which jobs to pursue, which applications to submit, what information to provide to employers, whether to follow coaching recommendations and whether to accept an employment opportunity.

Nothing communicated by a Career Coach constitutes a guarantee of an interview, salary, offer, promotion or employment.

7. Fair Usage and Coach Availability

Premium Career Coach access is subject to reasonable and fair usage.

There is no fixed daily message allowance unless otherwise stated, but Members must allow reasonable time for requests to be reviewed and answered.

Routine enquiries will ordinarily be addressed as soon as reasonably practicable. More substantial requests, including CV rewrites, career plans, interview preparation and detailed research, may require additional time.

Placements24 may take reasonable measures to manage excessive, abusive, automated or unreasonable use of Career Coach services.

Abusive, threatening, discriminatory, unlawful or seriously inappropriate conduct toward a Career Coach or another person using the Platform may result in restriction or termination of access.

8. Premium Membership Price and Minimum Commitment

When you purchase Placements24 Premium Membership under our standard introductory offer, you enter into a Premium Membership subject to a minimum 30-day contractual commitment.

Under the current standard offer:

• $2.99 USD is charged when you purchase Premium Membership.
• You receive full Premium access immediately.
• $21.96 USD is charged seven (7) days after your initial purchase.
• The first $24.95 charge forms part of your minimum 30-day membership commitment.

The $2.99 introductory payment does not constitute a standalone seven-day subscription or a cancellable free trial.

By purchasing Premium Membership, you expressly agree to the minimum 30-day membership commitment and agree that the first $24.95 membership charge is payable as part of that commitment.

You may request cancellation during the minimum commitment period. However, cancellation during that period does not remove your contractual obligation to pay the first $24.95 membership charge. Instead, it prevents the membership from automatically renewing after the minimum commitment has been satisfied.

After the minimum commitment has been satisfied, Premium Membership automatically continues at $24.95 USD every 30 days until cancelled.

The material price, minimum commitment and automatic-renewal terms applicable to your purchase will also be presented before you complete your purchase.

If Placements24 offers a different promotion, price or membership arrangement, the specific terms clearly presented to and accepted by you at checkout will apply to that purchase.

9. Payment Authorization and Automatic Renewal

By purchasing Premium Membership, you expressly authorize Jobs HQ Limited and its payment processor to charge your selected payment method:

(a) $2.99 USD at the time of purchase;

(b) $21.96 USD seven (7) days after the initial purchase as part of the minimum 30-day membership commitment; and

(c) following completion of the minimum commitment, $24.95 USD every 30 days until automatic renewal is cancelled.

The first $24.95 charge is part of the contractual commitment accepted when Premium Membership is purchased. It is not dependent upon continued use of the Platform during the first seven days.

Premium Membership automatically renews after the minimum commitment unless you cancel renewal in accordance with Section 10.

Before billing authorization is obtained, the material payment, commitment and renewal terms applicable to the purchase will be displayed to you.

By completing the purchase, you expressly consent to the disclosed charges and automatic-renewal arrangement.

Payment information may be securely retained by our payment processor for the purpose of processing charges you have authorized.

10. Cancellation and End of Membership

You may request cancellation of your Premium Membership at any time through the cancellation functionality provided within your Placements24 account or through another cancellation method expressly made available by Placements24.

Cancellation during the minimum commitment

If you cancel before completing the minimum 30-day commitment, your cancellation prevents the membership from automatically renewing after that minimum commitment has been satisfied.

Cancellation during this period does not cancel or waive the first $24.95 membership charge due seven days after purchase.

Cancellation after the minimum commitment

Once the minimum commitment has been satisfied, you may cancel automatic renewal before your next recurring payment becomes due. No subsequent recurring membership charge will then be taken.

Where a membership period has already been paid for, Premium access will ordinarily continue until the end of that paid membership period.

Cancellation does not retrospectively reverse a charge that was properly due and authorized under your membership agreement.

Placements24 will provide a simple method of stopping future recurring charges and will process valid cancellation requests in accordance with applicable law.

Nothing in this Section limits any cancellation, refund or other right which applicable mandatory law does not permit the parties to exclude.

11. Refunds and Mandatory Consumer Rights

Except where required by applicable law or expressly agreed by Placements24, payments properly charged under an active membership agreement are generally non-refundable.

This includes charges properly due under the minimum 30-day commitment.

Nothing in these Terms removes or restricts any refund, cancellation, withdrawal or other consumer right that applicable mandatory law does not permit us to exclude or restrict.

Where applicable law grants you rights that cannot lawfully be waived by contract, those rights continue to apply.

12. United States-Focused Service

The current Placements24 Platform is designed and operated primarily as a United States-focused online career platform, including functionality intended primarily for individuals searching for employment opportunities in the United States.

The availability of the Placements24 website through the internet does not, by itself, constitute an offer by Placements24 to provide recruitment, employment-placement or other regulated employment services in every country or jurisdiction from which the Platform may be accessed.

If you access Placements24 from outside the United States, you are responsible for ensuring that your use of the Platform is lawful in your location.

Access from another country does not alter the nature of the service provided by Placements24. Your membership remains access to an online software and career-support Platform and is not a contract under which Placements24 undertakes to procure employment for you.

Nothing in this Section overrides any applicable mandatory law which cannot lawfully be excluded by contractual agreement.

13. No Guarantee of Employment or Career Outcome

Placements24 provides tools, software, information and career support intended to assist Members with their own career activities.

Placements24 does not guarantee:

• an interview;
• a response from an employer;
• a job offer;
• employment;
• continued employment;
• a particular salary;
• a promotion;
• successful relocation;
• visa or immigration approval;
• acceptance of a CV/resume; or
• any other particular career outcome.

Employment outcomes depend upon factors outside Placements24’s control, including labour-market conditions, employer requirements, competition, Member qualifications and individual employer decisions.

14. User Accounts and Responsibilities

You must provide accurate information when creating and maintaining your account.

You are responsible for maintaining the confidentiality of your login credentials and for activity undertaken through your account.

You must notify us if you reasonably believe your account has been compromised.

You may not create or operate an account for fraudulent, unlawful or misleading purposes.

Users must be at least 18 years old to purchase Premium Membership.

15. Acceptable Use

You must not:

• provide deliberately false or fraudulent registration information;
• misrepresent your identity, experience or qualifications;
• upload unlawful or malicious content;
• use the Platform for fraud or deception;
• attempt unauthorized access to our systems;
• interfere with Platform security;
• circumvent Premium access controls;
• scrape, harvest or systematically extract Platform data without authorization;
• use unauthorized bots or automated systems;
• copy or commercially exploit our software or proprietary content;
• share or resell membership access;
• impersonate another person;
• distribute spam through the Platform; or
• use Placements24 in violation of applicable law.

Placements24 may restrict, suspend or terminate access where reasonably necessary to protect users, third parties, Placements24 or the integrity and security of the Platform.

16. User Content and Documents

You retain ownership of original CVs/resumes, text and personal documents you submit to Placements24.

By providing content to the Platform, you grant Jobs HQ Limited a non-exclusive licence to host, store, process, format and display that content to the extent reasonably necessary to provide the Platform and services you request.

This licence does not transfer ownership of your original documents to Jobs HQ Limited.

Our handling of personal information is also governed by our Privacy Policy.

17. Job Alerts and Electronic Communications

Members may receive account communications, service notifications and, where enabled or otherwise lawfully permitted, job alerts relating to their stated job-search preferences.

Job alerts may contain opportunities obtained from third-party sources.

Receiving a job alert does not mean Placements24 has selected you for a vacancy, referred you to an employer as a recruitment candidate or determined that an employer will consider you suitable.

Any automated matching or recommendation is Platform functionality based upon available job information and the preferences or information associated with your account.

Where required, Members may unsubscribe from or disable applicable marketing or job-alert communications.

Transactional and administrative communications necessary to operate an account or membership may continue where permitted by law.

18. SMS, Mobile and WhatsApp Communications

Where you separately provide a telephone number and consent to applicable mobile communications, Placements24 may send permitted career-support, service or administrative communications using SMS or third-party messaging services such as WhatsApp.

Consent to promotional mobile messaging is not a condition of purchasing Premium Membership.

Carrier message and data charges may apply.

Where applicable, you may withdraw messaging consent using the opt-out mechanism provided with the communication or by contacting us.

19. Third-Party Websites and Services

Placements24 relies upon and may interact with third-party services, which may include job-data providers, employers, recruiters, payment processors, email providers, authentication providers, analytics services and external websites used to complete job applications.

Placements24 does not own or control an independent third-party website merely because the Platform provides access or a link to it.

When you leave Placements24 and interact with a third-party service, that third party’s own terms and privacy practices may apply.

Placements24 is not responsible for independent third parties’ acts, omissions, availability, content or hiring decisions except to the extent liability cannot lawfully be excluded.

20. Platform Availability

Placements24 aims to make the Platform reasonably available but does not guarantee uninterrupted or error-free operation.

Access may occasionally be affected by maintenance, updates, technical faults, internet outages, third-party providers, job-data providers, payment systems or circumstances beyond our reasonable control.

Platform features may evolve as Placements24 develops.

We may make reasonable modifications to Platform functionality provided that doing so does not unlawfully deprive a paying Member of material contractual rights already purchased.

21. Intellectual Property

The Placements24 Platform, software, design, branding, interfaces, proprietary functionality, written materials, career resources and other content owned by Jobs HQ Limited are protected by applicable intellectual-property laws.

Except for the limited licence expressly granted under these Terms, no ownership rights in Placements24 software or intellectual property are transferred to you.

You may not reproduce, modify, distribute, sell, license, reverse engineer or commercially exploit protected Placements24 materials except where expressly permitted by us or applicable law.

22. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Placements24 is provided on an “AS IS” and “AS AVAILABLE” basis.

Jobs HQ Limited does not warrant that the Platform will always be uninterrupted, error-free or suitable for every Member’s individual career objectives.

To the extent legally permitted, we disclaim implied warranties including merchantability, fitness for a particular purpose and non-infringement.

Nothing in these Terms excludes a warranty or statutory right which applicable law does not permit us to exclude.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Jobs HQ Limited and its directors, employees, contractors and Career Coaches will not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the Platform, including loss of opportunity, anticipated earnings or employment opportunities.

Placements24 is not responsible for an employer’s or independent third party’s decision to interview, reject, employ or cease employing a Member.

To the maximum extent permitted by applicable law, the aggregate financial liability of Jobs HQ Limited arising directly from your use of Placements24 will not exceed the fees you paid to Placements24 during the three months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

24. Suspension and Termination

Placements24 may suspend or terminate an account where we reasonably believe that a Member:

• has materially breached these Terms;
• has engaged in fraud or unlawful conduct;
• poses a security risk;
• has abused another Member or Career Coach;
• has attempted to circumvent payment or Platform controls; or
• has used the Platform in a manner likely to cause material harm.

Where appropriate and reasonably practicable, we may provide notice or an opportunity to correct a breach.

Termination for serious misconduct does not automatically create a right to a refund where payment was otherwise lawfully due, subject always to mandatory consumer rights.

25. Governing Law

Jobs HQ Limited is incorporated in the Isle of Man.

Except where applicable mandatory law provides otherwise, these Terms and the contractual relationship between you and Jobs HQ Limited are governed by the laws of the Isle of Man, without regard to conflict-of-laws principles.

The fact that the current Placements24 Platform is primarily designed for the United States market does not change the identity of the contracting company.

Where mandatory consumer law applicable to you provides protections which cannot legally be excluded through a choice-of-law provision, those protections remain unaffected.

26. Disputes

Before commencing formal legal proceedings, you and Jobs HQ Limited agree to make a reasonable attempt to resolve any dispute directly.

You should first contact Placements24 Support with details of the dispute so that we have a reasonable opportunity to investigate and resolve the matter.

Subject to mandatory applicable law, disputes that cannot be resolved informally will be determined in accordance with the governing-law and jurisdiction provisions applicable to your agreement with Jobs HQ Limited.

Nothing in these Terms prevents either party from exercising a right or remedy which applicable law does not permit to be waived.

We have deliberately not inserted an unreviewed US mandatory-arbitration or class-action-waiver provision into this draft.

27. Changes to These Terms

Placements24 may update these Terms where reasonably necessary because of changes to the Platform, law, regulation, commercial arrangements or functionality.

Where a change materially affects an existing paid membership, we will provide notice where required by applicable law.

Changes will not retrospectively authorize a charge or materially different subscription arrangement to which you did not agree.

The latest version of these Terms will be made available through Placements24.

28. Entire Agreement and Severability

These Terms, together with the Privacy Policy and the specific subscription terms presented and accepted at checkout, constitute the contractual terms governing your use of Placements24.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure by Placements24 to enforce a provision on one occasion does not waive its right to enforce that provision subsequently.
